UFAS LLC — Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, mobile experiences, physical products (including NFC-enabled cards), and software services (collectively, the "Services") provided by UFAS LLC ("UFAS," "we," "us," or "our"), a Texas limited liability company. By purchasing a product, creating an account, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

UFAS provides physical NFC-enabled cards and related digital experiences, including but not limited to:

• Review cards that redirect a customer's NFC tap or QR scan to a business's review page (e.g., Google, Yelp, or similar platforms).
• Digital menu and link-hub cards that direct a tap to a hosted page (e.g., restaurant menus, social media and booking links for service professionals).
• A subscription-based analytics dashboard that provides tap counts, engagement data, and review trend reporting to business account holders ("Subscription Service").
• Sale of physical products directly through our website and through third-party marketplaces (including Amazon and Etsy).

We may add, modify, or discontinue features of the Services at any time.

3. Business Accounts

Certain features, including the analytics dashboard, require a business to register an account. You must provide accurate, current information and are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at info@theufasproject.com of any unauthorized use of your account. You must be at least 18 years old and authorized to bind the business you represent to use a business account.

4. Subscriptions, Billing, and Cancellation

Access to the analytics dashboard and certain other premium features requires a paid subscription. By subscribing, you authorize us (or our payment processor) to charge your designated payment method on a recurring basis at the then-current rate.

• Subscriptions automatically renew at the end of each billing period unless canceled prior to renewal.
• You may cancel at any time through your account settings or by contacting info@theufasproject.com; cancellation takes effect at the end of the current billing period.
• Except as required by law, fees already paid are non-refundable.
• We may change subscription pricing with advance notice; continued use after a price change takes effect constitutes acceptance.

5. Physical Products and Marketplace Purchases

Physical cards and related products are sold on an as-described basis. If you purchase through a third-party marketplace such as Amazon or Etsy, that marketplace's own terms, policies, and buyer protections also apply to your purchase, and in the event of a conflict specific to that transaction, the marketplace's applicable policies control the purchase and fulfillment terms. Product images are representative; minor variations in color, material, or finish may occur.

6. Redirect and Third-Party Destination Content

Our NFC cards and QR codes redirect users to third-party destinations (such as Google, Yelp, booking platforms, or social media profiles) that we do not own or control. We are not responsible for the content, availability, accuracy, or practices of any third-party destination. Businesses using our Services are solely responsible for the accuracy and legality of the destination content and links they configure (including menu items, business information, and booking links).

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to direct users to fraudulent, deceptive, or harmful content;
• Attempt to interfere with, disrupt, or gain unauthorized access to our systems or another user's account;
• Misrepresent your identity or affiliation, or program a card to impersonate a business you are not authorized to represent;
• Reverse engineer, resell, or white-label the Subscription Service without our prior written consent.

8. Intellectual Property

The Services, including all software, dashboards, designs, and the UFAS name and marks, are owned by UFAS LLC or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as intended, no rights are granted to you. You retain ownership of the business content you upload or configure (such as menu text, logos, or links), and you grant us a license to host and display that content as necessary to operate the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY NFC TAP OR REDIRECT WILL FUNCTION WITHOUT FAILURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UFAS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless UFAS LLC, its owners, and personnel from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or content you configure through the Services.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice where practicable. You may stop using the Services and cancel your account at any time.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
